TERMS AND CONDITIONS

PRICES

• Quotes are valid for 30 days unless otherwise specified.

• Prices are based on information provided at time of quotation and may change if specifications are revised.

• Shipping, taxes, mock-ups, and prototypes are not included unless stated otherwise.

• All Canadian orders are priced in CAD; all other orders in USD.

• Prices are EXW / FOB Magog, Québec unless otherwise indicated.

 

PAYMENT TERMS

• Deposit payment is required to activate production.

• Approved accounts are Net 30 unless otherwise agreed in writing.

• Balance payment is due prior to shipment unless otherwise agreed.

• Interest of 2% per month may be charged on overdue accounts.

 

ORDERS

• All orders are subject to acceptance by MIORA.

• Custom orders are non-cancellable and non-returnable once production has started.

• Critical dimensions and site conditions must be confirmed by client before production.

 

DESIGN / SHOP DRAWINGS

• Shop drawings will be issued after receipt of deposit when applicable.

• Production lead times begin only after approval of final shop drawings.

• Changes after approval may result in change-order fees and lead time revisions.

 

LEAD TIMES

• Standard products: 6–10 weeks.

• Custom products: 10–14 weeks.

• Large or complex projects: to be confirmed at order stage.

• Delivery dates are estimates and are not guaranteed.

 

SHIPPING / STORAGE

• Claims for damaged or missing goods must be made within 5 business days.

• Storage fees may apply if shipment is delayed at client’s request.

• Partial shipments may be invoiced separately.

 

 

FINISHES / MATERIALS

• Wood, felt, acrylic and painted finishes may vary slightly from samples.

• Acoustic felt may show minor texture variations or compression marks during transport.

• Natural materials may vary in grain, tone and appearance.

 

LIMITED WARRANTY

• MIORA products are covered by a five (5) year limited warranty against manufacturing defects under normal indoor use.

• LED modules, drivers and internal electrical components are covered for 5 years.

• Wood, felt, acrylic and painted finishes are covered for 1 year against manufacturing defects.

• Warranty excludes misuse, improper installation, abuse, modifications, power surges, humidity, outdoor exposure unless rated, and normal aging.

• MIORA’s responsibility is limited to repair or replacement of defective parts.

• Labour, removal, reinstallation, shipping and travel costs are not included.

 

LIMITATION OF LIABILITY

• MIORA shall not be liable for incidental, indirect or consequential damages.

• LED tolerances: ±10% lumen output and ±200K color temperature.

• Terms are governed by the laws of the Province of Québec, Canada.
